Acceptance of Terms of Usage
These Terms of Usage govern your access and use of this Site. By accessing or using this Site you agree to be bound by these Terms of Usage and to any additional guidelines, restrictions, or rules that may be posted in connection with specific sections or services of this Site. All such additional posted guidelines, restrictions, or rules are hereby incorporated by reference into these Terms of Use.
Formica Print Solutions LLC (heretoafter, Vavii) reserves the right to make changes to this Site and to these Terms of Usage at any time without prior notice. You should review these Terms of Usage each time you access this Site.
You also agree that we may provide all legal communications and notices to you electronically by posting them on our website or, at our election, by sending an e-mail to the e-mail address you provided to us when you registered at our website. You may withdraw your consent to receive communications from us electronically by contacting customer service. However, if you withdraw your consent to receive our communications electronically, you must discontinue your use of your account.
General
All the terms and conditions and/or any transactions occuring online at www.vavii.com or by phone are subject to the laws of the State of Florida. Vavii is not responsible for the delay and/or damages resulting from machinery breakdowns, normal manufacturing misshaps, acts of God, and from other actions, both governmental and otherwise. The tools available on www.vavii.com to create a document are the property of Vavii and its affiliated companies. The Buyer’s order shall be deemed an acceptance of the Seller's terms. The Terms and Conditions shall in all respects be governed by STATE OF FLORIDA law.
Reservations
All orders are subject to acceptance by Vavii. We reserve the right to reject any order at any time without recourse. We also reserve the right to change the price at any time even after we receive the order.
Returns
Due to the nature of the product, no returns can be made once the order is processed and/or shipped. Any claims for defects, damages, or shortages must be made in writing within thirty (30) business days after shipment of product. We will replace only those orders that were processed or produced incorrectly. The replacement of the order will take place only after the receipt of returned product. We will not replace the order if it is determined by us that the order was produced incorrectly due to the file supplied or instructions provided by the buyer or part of the order was used by the buyer and only part of the order is being returned.
Credit Card
If the Buyer's credit card is declined, Vavii will not process the Buyer’s order. In the event that Vavii must commence legal action to enforce any terms of this agreement, the Buyer agrees to pay any and all legal fees and costs.
Warranty
Vavii makes no warranties or guarantees, either express or implied, other than as provided here, as to the quality, durability, suitability, performance or any other qualities of its products after they have been produced and shipped. Vavii will not be responsible for costs that are incurred after product has been produced. Vavii may, at its sole discretion, replace the defective product. Vavii may credit the amount of the purchase price.
Overruns / Underruns
Vavii will normally deliver the quantity ordered plus a small amount of overs. There will be no charge for the overs. The generally accepted industry standard is plus or minus 10%. If an order requires an exact number of pieces we suggest you order the next quantity up in order to allow for the +/- 10%. There will be no refunds for quantity shortages within the 10% standard or additional charges for any overs you might receive. Business cards are sold in 500, and 1000 boxes. Boxes are a standard size and usually will hold the appropriate quantity. However, due to manufacturing variances of paper, the printing process, and other factors, there may be cases where the exact number of business cards in the box might be over or under the box quantity. There will be no charges/refunds for these discrepancies.
Shipping
Vavii will arrange for shipping on behalf of the buyer. Vavii will not be responsible for the delay in delivery.
Indemnification
The customer represents that it has the legal right to produce all printed materials ordered from Vavii. In the event that a charge, claim or demand, or arbitration, action or proceeding (collectively, a "Claim") is made or commenced against Vavii based upon, relating to or arising from the alleged wrongful acts of the customers, or alleging that the printing performed or product produced by BCE ordered by the customer: (a.) infringes any copyright, patent or other proprietary right of any person; or (b.) contains matter that is libelous, slanderous, defamatory, scandalous or obscene, the customer shall indemnify and hold Vavii harmless from and against any loss, damages, cost and expense arising from or related to the Claim including without limitation; (1.) defending Vavii against any such Claim (2.) paying any judgment or award against the customer; and (3.) reimbursing Vavii for any legal fees and expenses it reasonably incurs in responding.
Limitation of Liability:
Vavii will not be liable in contract or in tort (including negligence) to the customer for incidental or consequential damages, arising out of or resulting from anybody’s performance or nonperformance of our obligations. Vavii shall not be liable to anyone for any kind of financial losses, cost, expenses, damages and/or other economic damages. The Buyer agrees that the Buyer will not hold Vavii responsible for any and all loss, cost, expense, and damages (including legal costs) on account of any and all manner of claims, demands, actions, and proceedings that may be instituted against Vavii on grounds alleging that the said work violates any copyrights, trademarks, service marks, or is scandalous, or invades any person's right to privacy or other personal rights.
Cancellations and Refunds:
Vavii will not refund any money for orders that were shipped or were cancelled after the order was processed. All cancellation requests MUST be made by the order cut-off time of the same day in which the order was placed. In cases where cancellation is possible after the day in which the order was placed, it will incur a fee of 3% of the total amount of the order.
